ONGOING BUSINESS COUNSEL • RETAINER RELATIONSHIPS

Build a Business That Has Counsel Before It Has a Crisis.

The legal questions that disrupt a regulated company often begin in everyday operations: a vendor contract, a management change, a proposed expansion, or a notice nobody knows how to classify. BOLO offers defined outside-counsel relationships to help licensed businesses identify those issues sooner, organize recurring decisions and know when a focused legal response is necessary. Scope, availability and fees are agreed before work begins.

Who this service is built for

Designed for growing firearms retailers, security agencies, A-901 operators, cannabis businesses, healthcare providers, financial-service licensees and other regulated businesses that want direct access to a business-minded attorney. Technical regulatory needs are assessed separately rather than presumed covered.

The engagement: concrete deliverables

A signed scope will state exactly what BOLO is engaged to do. The following is the proposed structure, to be tailored after a conflicts and intake review.

  • A recurring meeting cadence appropriate to the client’s size, operational activity and engagement scope.
  • Review and negotiation of defined categories of commercial contracts and business agreements.
  • Management advice on governance, ownership relationships, expansion decisions and common operating disputes.
  • An escalation framework for regulatory notices, threatened litigation, incidents and other legal matters that should receive prompt attorney review.
  • Coordination with accountants, compliance specialists, HR advisors and specialized counsel where the client authorizes their involvement.
  • Periodic review of priority risk items, outstanding contracts and strategic business decisions.

What is not included unless separately engaged

  • A monthly counsel arrangement does not automatically include litigation, hearing appearances, agency investigations, complex regulatory filings, or all-hours emergency availability.
  • The outside counsel relationship does not replace operational compliance staff, accountants, technical experts or required statutory compliance functions.
  • Services for owners, employees, affiliates and related companies are not included unless expressly identified as clients.
  • Out-of-scope matters may require separate fee agreements, budgets, specialist counsel and jurisdictional review.

How the work proceeds

Foundation — Understand the operation

Review the ownership structure, activities, key agreements, licensed entities and immediate decision calendar.

Operating cadence — Keep advice accessible

Agree on contact methods, recurring sessions, covered matters, escalation processes and budget expectations.

Prevention — Fix repeat problems

Prioritize recurring contract, payment, employment, vendor, governance and legal-process risks.

Escalation — A plan when the unexpected occurs

When a matter exceeds ordinary advice, assess deadlines and negotiate a defined expansion of scope for investigation, litigation or specialized representation.

Fee structure and expectations

BOLO can structure an ongoing relationship around the estimated monthly work volume, attorney availability and expressly covered services. Fees and any rollovers, hour caps, additional rates or exclusions are provided in writing following a discussion of the company’s needs.

Pricing, client identity and scope are confirmed only in writing; nothing on this page creates a standing engagement or an automatic obligation to address an upcoming deadline.

Why BOLO for a regulated company?

Brian O’Loughlin combines legal representation with prior government investigation and New Jersey Deputy Attorney General experience, a nursing background and graduate business education. BOLO focuses on the facts, the business consequences of legal decisions, and practical communication with owners. Sector-specific competence and additional counsel are evaluated matter by matter.

Questions before engaging BOLO

Do we have to be under investigation to hire counsel?

No. Many of the most valuable legal conversations happen before a dispute, contract or agency question becomes time-sensitive.

Can we start with a single contract review?

Yes. The firm can discuss a limited project and whether it makes sense to establish ongoing counsel afterward.

Will the arrangement guarantee 24/7 response?

No such guarantee is implied. Communication channels, expected availability and emergency handling are specified in the signed engagement.

An inquiry does not create an attorney-client relationship or stop a deadline.
